Anything you can do to convice the immigration officer will help, for example if you have family living in the UK, have a property or a job offer etc. You seem to have a valid reason (doing MBA) to stay out of UK. I think you will be ok provided you have not done any UK visits in the last two years ...

its 21 days to book the ceremony and 3 months to attend it from the date on the letter. Passport is your own choice - no time limit to apply for passport.

In theory they can do that although a number of friends of mine have applied in the last year or so and used the same referee who is also a friend, he never received any calls for verification.

By level one do you mean ESOL level 1 ??? Basically you need at least B1 CEFR which is equivalent to ESOL Entry level 3 or GESE Grade 5. See 3.10 and 3.11 in AN application form. I think you have to provide details of the incident. It would be better to mention it to be on the safe side. If this is the only incident then I don't think it should adversely affect you application.

Others might be able to advise you better.
