I think the 'restricted' you are referring to is in relation to the migration 'cap' - this means the employer has to ask UKBA for a certificate for the job but might not get one if there are none left (although that has never happened so far to my knowledge). You can apply once you've been outside the UK for 12 months - the onus is on you to prove this.

Yes - they can apply up to 3 months in advance. Sponsors get bombarded with emails from UKBA when the renewal date comes around.

The 12 months start the day you leave the UK - it used to be the date the visa expired but this changed recently.

The Immigration Rules require the applicant to prove when they left the UK.

You can apply for Tier 2 but you're going to need your employee to issue you with a CoS - you're going to need to speak with your boss or HR about this.
