PEO appointment- when to take?

My Tier 1 (G) wass granted from 18-Sep-2009 to 18-Sep-2012

If I go for PEO on say 15-Sep-2012 and they grant me Tier 1 (G) Ext till 15-Sep-2014.

1) Will I be shortfallen by 3 days for 5yrs requirement of ILR?
2) I have been out of UK for 70 days 1st year, 22 days second year. How will this come into picture?
