Tier1 rejection to Tier2 sponser

Hi Everyone,
Thanks in advance.I applied for Tier1 Entrepreneur in 2013 which got rejected and then appeal and even appeal got dismissed ,now my case is with upper tribunal.my reason for refusal: I sent a wrong document to UKBA instead of what they asked i.e I sent comapny house apponent letter instead of CAR.
I want to go for Tier2 now AM I ELIGIBLE FOR IT??
If yes than,i am hearing a lot about strict rules with Tier2 sponsor.If suppose i apply Tier2 through umbrella company is it mandatory to restrict our work only with that comapny as per new rules.Can we still find contract jobs and run payroll through our sponser?? Is it legal??..I even heard comapnies are not showing interest in hiring people with the Tier2 sponsor..please advise me in this regard.Thank you so much in advance.
